About the Authors:
Joseph Hoffman’s practice focuses on business transactions cutting across a wide range of industries. Mr. Hoffman's experience includes the purchase and sale of assets and companies as well as venture capital, equipment leasing and institutional financing transactions. He represents telecommunications companies, real estate developers, lenders, venture capital funds, emerging growth companies, thoroughbred horse industry interests and high-net-worth individuals.
Ira Kasdan focuses his practice on complex civil litigation and alternative dispute resolution before federal and state courts, private arbitration and mediation services, and government agencies. Mr. Kasdan has represented corporations and individuals in matters involving breach of contract, fraud, misrepresentation and related tort claims, as well as in disputes involving employment and labor, real property and federal and state telecommunications laws, non-competition contract clauses, the theft of high-tech trade secrets and allegations of false advertising.
Allan Weiner clients in a broad array of industries on business and tax aspects of formation and ongoing operations, venture capital and mezzanine financing, joint ventures, mergers and acquisitions, and general business transactions. Mr. Weiner has substantial experience counseling real estate investment/development firms and other service and manufacturing entities on acquisitions/divestitures, tax matters, business structures, succession planning, financial transactions and general legal matters. He also has counseled high-net-worth individuals in estate planning, income taxation, investment and other matters.
Mahmood Ahmad is an associate in the firm's Washington, D.C. office. His practice focuses on insurance recovery, intellectual property and commercial litigation matters. Mr. Ahmad represents corporate policyholders for the recovery of insurance proceeds and clients in all forms of intellectual property and unfair competition matters.
Cameron Argetsinger has represented corporate policyholders in insurance coverage disputes relating to tort liabilities, lead paint, environmental clean-up, and advertising and marketing injury.
Brooke Fineberg focuses on litigating a wide range of matters, including commercial disputes and discrimination claims. Before joining Kelley Drye, Ms. Fineberg served as a Special Assistant Attorney General for the District of Columbia in civil litigation, defending the District against statutory, constitutional, and commercial claims.
Elizabeth Johnson is an associate in the firm's Washington, D.C. office. Her practice focuses on civil litigation, insurance recovery, and government ethics. Ms. Johnson has represented clients in a variety of litigation matters, including commercial disputes and federal procurement bid protests. She regularly counsels corporate policyholders in insurance coverage disputes, and also counsels clients on compliance with federal, state and local ethics rules.
Aaron Rosenfeld’s practice focuses on commercial transactions including mergers, acquisitions, private equity transactions, real estate development, commercial lending and general corporate matters. He represents purchasers, sellers and financing parties in various public and private asset- and entity-acquisitions spanning a wide range of industries and transaction structures. A large part of Mr. Rosenfeld’s practice focuses on advising real estate developers on acquisitions, dispositions, related financings, like kind exchanges and leasing.
Joseph Wilson practices in the area of business litigation. He has diligently represented various businesses and individuals in a real estate, lending, employment, and assorted other business and commercial disputes before state and federal courts in D.C., Maryland, and Virginia. He regularly practices in the United States District Court for the Eastern District of Virginia, Alexandria division. Known as the “Rocket Docket,” that court is one of the fastest moving federal courts in the country and has unique local rules and practices.
Rebecca Tzou works with clients on general business transactions, specifically corporate and real estate law, including mergers and acquisitions, commercial leases, real estate and corporate financings, various healthcare and telecommunications product and service contracts, corporate governance and corporate due diligence. Additionally, Ms. Tzou advises landlords and tenants in connection with the leasing of commercial real estate, including office, retail and warehouse space. Ms. Tzou also counsels clients on numerous commercial matters, including: structuring and restructuring of business entities pursuant to merger, reincorporation, dissolution or other methods; employment and severance matters in connection with the purchase and sale of a business or on an individual basis; resolving disputes by business owners under shareholders agreements, voting trusts and other internal governance mechanisms.
